Pinetree Capital Ltd. Acquires Securities Of
Rockgate Capital Corp.

TORONTO, Ontario –
Pinetree Capital Ltd. (TSX: PNP), announces that on April 24, 2007 it acquired ownership of 500,000 common shares (“Common Shares”) of Rockgate Capital Corp. (“Rockgate”), and 500,000 share purchase warrants (each, a “Warrant”) (each Warrant entitling the holder thereof to acquire one additional common share at an exercise price of $2.70 until April 24, 2009). In the event that the Warrants are fully exercised, these holdings represent approximately 4.5% of the total issued and outstanding common shares of Rockgate as of April 24, 2007, calculated on a partially diluted basis assuming the exercise of Warrants only. Immediately following the acquisition, Pinetree owns an aggregate of 1,750,000 common shares of Rockgate and rights to acquire an additional 1,750,000 common shares of Rockgate upon the exercise of convertible securities, including the Warrants (collectively, the “Convertible Securities”). In the event that the Convertible Securities are fully exercised, the direct holdings of Pinetree represent a total of 3,500,000 common shares of Rockgate, or approximately 14.9% of all issued and outstanding common shares as at April 24, 2007, calculated on a partially diluted basis assuming the exercise of the Convertible Securities only.
These transactions were made for investment purposes and Pinetree and each of its joint actors could increase or decrease their respective investments in Rockgate depending on market conditions or any other relevant factor.
